Intellectual Property & Proprietary Rights
BBBEC India Pvt. Ltd. (“Service Provider”) places critical importance on the protection of its
Intellectual Property (IP)including, but not limited to, trade secrets, patents, trademarks,
copyrights, marketing strategies, service plans, business models, pricing structures, designs,
engineering methodologies, databases, customer records, training material, CRM tools, and
unpublished financial reports.
In accordance with The Indian Copyright Act, 1957, The Patents Act, 1970, and The
Trademarks Act, 1999, all intellectual property owned or developed by BBBEC India Pvt. Ltd.
remains the sole property of the company and shall not be reproduced, shared, transferred, or
disclosed in part or whole without prior written consent from the Service Provider. Furthermore,
the Company acknowledges and respects the intellectual property rights of its clients. All client owned
IP, including but not limited to trademarks, proprietary processes, and confidential information, must be protected with the utmost diligence. The Company and its representatives shall not use, disclose, or reproduce any client IP without explicit written authorisation from the client.
Any unauthorised use, duplication, or distribution of proprietary material will constitute IP
infringement and may result in immediate legal action including injunctive relief, damages, and
criminal prosecution as per applicable laws.
All parties, including the Client (e.g., SHREEDHA GREEN SOLUTIONS ), vendors, partners,
employees, and associates, are bound by this clause whether or not they have signed a Non-
Disclosure Agreement (NDA).
Disclaimer & Liability
Liability and Indemnity Clause
In accordance with the Indian Contract Act, 1872—particularly Sections 17 (Fraud), 18
(Misrepresentation), and 73 (Compensation for loss or damage caused by breach of contract)—the
following terms are established:
1. Service Provider's Liability: BBBEC India Pvt. Ltd. (hereinafter referred to as "the Service
Provider") shall not be held liable for any non-performance, fraud, or misrepresentation
committed by the client (e.g., SHREEDHA GREEN SOLUTIONS) towards its end
customers. The Service Provider's responsibilities are confined to customer onboarding, lead
generation, and marketing services as explicitly outlined in the agreement.
2. Client's Liability: Conversely, any fraud, misrepresentation, or misconduct committed by
the Service Provider or its executive towards the client or the end customers shall render the
Service Provider solely liable and accountable.
Both parties agree to indemnify and hold each other harmless from any claims, damages, or
liabilities arising out of their respective breaches of this agreement, including but not limited to
negligence, wilful misconduct, or violation of applicable laws.
Service Deployment Timeline
• Initial Setup & Team Formation: 15 / 20 business days from date of agreement execution
and advance payment. ( it will not consider on monthly stipend )
• Operational Momentum: Additional 5 business days for training, alignment, and CRM
implementation before active scaling.
Termination & Compensation Clause
• Lock-In Period: 2 months. Early termination not allowed during this period.
• Early Exit (Post Lock-In): If AUGMEN fails to meet targets despite proper support, the client may exit with 15 days’ written notice, paying only 15 days' agent stipend during the notice period.
• No Penalty: No termination penalty or full-term payment is required.
• Exclusion Clause: In case of fraud, misrepresentation, or negligence by AUGMEN, the client may terminate
without any further liability, and AUGMEN will be responsible for any resulting damages.
Compensation for Breach of Contract
Pursuant to Section 73 of the Indian Contract Act, 1872, both BBBEC India Pvt. Ltd. and the client
(e.g., SHREEDHA GREEN SOLUTIONS ) are entitled to claim compensation for any loss or
damage resulting from a breach of contract by the other party. This includes losses that naturally
arise in the usual course of events or those which the parties knew, at the time of contract formation,
were likely to result from such a breach.
Non-Solicitation & Usage Restriction
The Client is prohibited from:
• Directly hiring, poaching, or subcontracting any BBBEC India Pvt. Ltd. (AUGMEN) team
member for a period of 12 months post engagement.
• Reusing AUGMEN's proprietary business methods, pitch decks, CRM workflows, training
scripts, sales funnels, or operational tools without written permission.
Violation of this clause shall invite legal action under Section 27 of the Indian Contract Act, 1872
(Restraint of Trade), and shall be subject to an additional claim of ₹2,00,000 as damages.
Confidentiality & Data Protection
All customer, transaction, and engagement data shall be governed under the Information
Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or
Information) Rules, 2011 under Section 43A of the IT Act, 2000.
• AUGMEN ensures secure handling of all data under its Data Privacy & Confidentiality
Policy.
• In accordance with the Indian Contract Act, 1872, and the Information Technology Act,
2000, all customer data, lead information, and any other data shared or generated during the
contract period shall remain the exclusive property of the client. BBBEC India Pvt. Ltd.
(hereinafter referred to as "the Service Provider") shall not misuse, and disclose this data for
any purpose beyond the scope of the agreed services.
Use of Client’s Brand for Portfolio
By entering this agreement, the Client grants BBBEC India Pvt. Ltd. non-exclusive rights to display
the client’s brand name and logo in their marketing portfolio, website, and client showcase as a
"Growth Partner," unless explicitly denied in writing.
Service Taxes & Pricing Flexibility
• All service fees are subject to 18% GST under The Central Goods and Services Tax Act,
2017.
• Service fees may be revised based on scope, resource requirement, and market
volatility, with prior intimation to the client.
Jurisdiction & Governing Law
• All legal proceedings arising out of this agreement shall be governed by and construed in
accordance with the laws of India, and shall be subject to the exclusive jurisdiction of the
courts of Indore, Madhya Pradesh.
Amendments & Execution
• This agreement shall be executed and amended only via mutual consent in writing.
• A separate work order or annexure will be signed for each process engagement or shortterm
campaign.
Company Policies for employment
You will be governed by the rules, regulations, policies, and organizational structure of AUGMEN ( BBBEC INDIA PVT. LTD.), as may be amended or communicated by the management from time to time.
You are required to serve a minimum lock-in period of 3 months from the date of joining. In case of voluntary resignation thereafter, a 15-day written notice must be served. Early termination without completing this requirement will be considered a breach of contract.
During your tenure, you shall not engage in any other employment, business activity, or paid engagement without prior written consent from the Management.
Any involvement in activity that, in the sole opinion of the Company, is harmful or detrimental to the business, reputation, or interests of AUGMEN ( BBBEC INDIA PVT. LTD. ) may result in immediate termination without notice or severance. Legal action may also be pursued where applicable.
You are strictly prohibited from disclosing, sharing, or distributing any confidential company information, documents, client data, or internal communication without explicit written authorization. Any violation shall be deemed as gross misconduct and will invite legal consequences.
The Company assumes no liability for personal injuries, illness (including but not limited to COVID-19), or accidents occurring during work hours or on work premises. Medical claims of any nature will not be entertained by the Company. Personal safety and hygiene are your responsibility.
